   In all cases, total liability shall not exceed the total amount of fees paid by the client to the Company.

   All transactions, agreements, and financial arrangements are executed directly between the client and third parties.
   The Company has no control over and assumes no responsibility for third-party actions, performance, or outcomes.
5. No Fiduciary Relationship
   Nothing in these Terms creates any fiduciary, advisory, or agency relationship between the Company and any user or client.
6. Intellectual Property
   All content, materials, branding, and intellectual property on this website are owned by the Company and may not be used without prior written consent.
7. Governing Law
   These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States.
8. Dispute Resolution
   Any dispute shall be resolved exclusively through binding arbitration in the State of Florida.
   You expressly waive the right to a jury trial and to participate in any class action proceeding.

By engaging with Massi Network Group, the client acknowledges and agrees to this policy.

MASTER CONSULTING AGREEMENT

This Agreement is entered into between Massi Network Group ("Company") and the Client.

1. Services
   The Company provides strategic consulting, advisory services, and introductions to potential business partners, investors, and capital sources.
   The Company is not a lender, broker, or financial institution.
2. Fees
   The Client agrees to:

• Pay a non-refundable retainer fee (typically 30%)
• Pay a success fee upon completion of any transaction

1. No Guarantee
   The Company makes no guarantees regarding funding, transactions, or results of any kind.
2. Non-Circumvention
   The Client agrees not to bypass, avoid, or circumvent the Company for a period of thirty-six (36) months.
3. Confidentiality
   All information exchanged between the parties shall remain strictly confidential.
4. Limitation of Liability
   The Company’s total liability shall not exceed the total fees paid by the Client.
5. Indemnification
   The Client agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Client’s actions or decisions.
6. No Fiduciary Duty
   Nothing in this Agreement creates a fiduciary or advisory relationship.
7. Governing Law
   This Agreement shall be governed by the laws of the State of Florida, United States.
8. Dispute Resolution
   Any dispute shall be resolved through binding arbitration in the State of Florida.
    
9. NON-CIRCUMVENTION AND NON-DISCLOSURE AGREEMENT
10. The Parties agree as follows:
11. Not to bypass, avoid, or circumvent Massi Network Group in any transaction or relationship
12. Not to directly or indirectly contact or engage with introduced parties without prior written consent
13. Not to disclose any confidential or proprietary information
14. This Agreement shall remain in effect for a period of thirty-six (36) months.
15. Any breach of this Agreement will result in legal action, including financial damages and injunctive relief.
     
16. FEE PROTECTION AGREEMENT
17. All parties acknowledge that Massi Network Group is the introducing and facilitating party.
18. All parties agree that Massi Network Group is entitled to:
19. A non-refundable retainer fee
20. A success fee upon completion of any transaction
21. Payment shall be due immediately upon:
22. Receipt of funds, or
23. Execution of any agreement resulting from the introduction
24. Failure to comply with this agreement will result in legal enforcement.
